Verdict One . . . Terms of Use

General. The obligations and rights of all parties in this Agreement are governed by the laws of the State of Florida, notwithstanding laws dealing with conflicts of state laws. Each party agrees that the exclusive jurisdiction shall be with the federal and state courts in the State of Florida. Venue shall be in Hillsborough County, Florida.
Web Directory Service. Verdict One, L.L.C. (hereinafter “VO”) operates the service (“Service”) which is a dynamic web application allowing you (hereafter called “User”) to conduct searches for attorneys, board certified attorneys, or law firms (hereafter referred to as “Subscribers”). The Service is not a lawyer referral service, does not provide legal advice or legal representation, and does not verify or check the information about Subscribers. Subscribers determine the content of the information provided on this website. VO neither monitors nor prepares nor approves the content of the information or the transactions between the Subscriber and the User and assumes no responsibility for the information exchanged between User and Subscribers. Subscribers and User of the Service assume sole responsibility for compliance with any and all applicable laws and regulations which may govern the Subscriber or this Service. With special regard to Subscribers, this means that Subscribers and not VO are responsible for maintaining compliance with applicable bar association rules and regulations, as well as comply with their ethical obligations as they apply to the Subscribers’ practice of law.
Severability and Enforceability. If User or VO fail to exercise a right provided in this Agreement, this does not mean that that party waives any further rights. If any provision in this Agreement is found to be unenforceable, the reminder of this Agreement and the terms and conditions of use shall remain in full force and effect.
Confidential Information. User should not disclose any confidential information in connection with User’s use of this Website. Because of the non-confidential nature of much of the internet, especially in regards to interception of email and other traffic, User is advised not to disclose any of its confidential information. User should wait until User has made a choice of an attorney and reveal any confidential information through additional contact outside the Service (for example, in person at an attorney’s office).
Assignment. Only with prior written consent from VO is this Agreement assignable by the User or Subscribers. VO may assign its rights and obligations under this Agreement in part or whole at its discretion.
Disclaimer. User should note that the Service is provided ‘as is’ AND THERE ARE NO WARRANTIES OF GUARANTIES, EITHER EXPRESSED OR IMPLIED AS TO THE SERVICE PROVIDED, THE INFORMATION VONTAINED ON THE SITE, OR AS TO ANY USE MADE BY USER OR SUBSCRIBERS OF THIS SITE. VO does not warrant OR GUARANTY the service including, but not BY WAY OF limitATION, content, usefulness, non-infringement, or availability OF THE SERVICE at any given time.
Liability and Damages Limitations. Under no circumstances will VO be liable for any damages, be they consequential, incidental, or special, arising from the use OF THE SERVICE, THE INFORMATION or lack of ability to use the Service. VO IS NOT LIABLE FOR negligence or breach of contract OR ANY DAMAGES RESULTING THEREFROM. VO and the Service’s liability to you or any party shall not exceed TWO HUNDRED dollars ($200.00) for any and all claims.
Waiver, Release and Indemnity. By using the Service, you agree to waive, release, acquit and discharge forever any and all claims, losses, liability, damages, demands, and/or injuries of any kind and nature, you may have against VO, its parents, subsidiaries, affiliates, agents, directors, attorneys, representatives, officers, and employees resulting from User’s or Subscribers’ use of the Service or for any information that comes from your use of the Service. These claims include, but not by way of limitation, those based on conflict of interest, ethical violations, malpractice, either alleged or proven, and any information disclosed as a result of your use of the Service. With regard to indemnity, if you (a) use the website, (b) breach this Agreement, (c) have an interaction with a Subscriber, or (d) use this Service outside the terms of this Agreement, then you hold VO, its parents, subsidiaries, agents, directors, attorneys, representatives, officers and employees harmless and indemnify them from claims, judgments, actions, and demands, made by anyone (including Users and Subscribers).
Account Security. You are solely responsible for maintaining the secrecy of your username and password and you are solely responsible for all activities that occur under your username and password. You agree to indemnify and hold harmless VO for any use of your username and/or password. You agree to notify VO of any unauthorized use of your username or password or any other breach of security. VO will not be liable for any claim, loss or damage arising from activities that occur under your username and password or as a result of your failure to comply with this provision.
Attorney-Client Relationship. There is no attorney-client relationship between this Service or VO and the User. User is advised to pay special attention to the fact that the use of this Service may NOT establish an attorney-client privilege and that information submitted to a Subscriber may NOT be privileged and may be discovered in legal proceedings. VO does not represent or warrant that and suggests that confidential relationships may not be established by using this Service. User is responsible for deciding which attorney or Subscriber is most suitable for its needs. If User later signs an agreement with an attorney or Subscriber, the User understands that such an agreement, including any fees charged or promises for services, is strictly between the User and the Subscriber and is beyond the scope of this Service.
User controls web searches. The Service is a searchable directory and specifically does NOT direct User to any particular attorney or Subscriber. User is free to use any of the search functions and decide, based on its own search criteria, which attorney or attorneys to follow-up with. In no event shall VO be liable for any services provided or agreed to be provided by a Subscriber.
Conflicts of Interest. The avoidance of conflicts of interest is outside the scope of the Service. Subscribers and User are solely responsible for ensuring there are no conflicts of interest in any relationships that are formed after contact is made by use of this Service.
Accuracy of Information that Subscribers provide. Subscribers agree to provide true and accurate information that is requested or required by the Service and not to use the Service for sending unsolicited commercial email or information; however, VO does not warrant or guaranty to User the that Subscribers comply with these requirements. Determination as to any violation of this provision will be made solely by VO in its sole discretion.
Legal Issues and Legal Specialties Information sections are not legal advice. VO provides areas of the website for legal information of a general nature. User shall not rely on such legal information provided. Only User’s attorney can determine whether the information provided applies to User’s specific problem. VO does not warrant or guaranty the accuracy of the information provided nor does it warrant or guaranty the applicability of the information to any specific problem. VO makes an effort to generally reflect each of the legal specialties, but due to variations between States laws, the various State Bar requirements relating to the specialties, and the National organizations and Academies that follow the ABA guidelines for specialist certification, variation in the types of cases that specialists cover may occur. VO doe not verify that Subscribers are specialists or the types of cases they handle.
Limitations on Use. User may use the website to find an attorney, but User is not allowed to modify or alter information, or attempt to monitor User or usage, including but not limited to copying of web pages except as allowed under the fair use by the Copyright Act without written permission from VO. User and Subscribers are prohibited from using information on the website for solicitation. Any waiver of any provision of this Agreement will be effective only if in writing and signed by VO.
Automated Queries. You are prohibited from using, reproducing, distributing, displaying or providing access to any portion of the Services on any other Web sites. Publicly available search engines, on the other hand, and similar Internet navigation tools ("Search Engines") may query the Services and provide an index with links to the Service's Web pages, but only to the extent such unlicensed "fair use" is allowed by applicable copyright law. Search Engines are not permitted to query or search information protected by a security verification system ("captcha" or Turing equivalent) which limits access to human users. VO may also further restrict automated queries.
VO'S Proprietary Rights. User agrees that the Service is operated by VO and the associated software is property of PiWave, LLC and as such are protected by all applicable intellectual property laws, including but not by way of limitation laws concerning trademarks, copyrights and patents. By using this Service you agree not to modify, sell, or create derivative works from or using the Service.
Termination. User acknowledges that misuse of the Service may result in serious, even irreparable harm to VO. At its sole discretion, VO may seek monetary damages and other relief as a result of misuse. Reasons for termination of a User or Subscriber may include, but not by way of limitation, breach of an Agreement provision, misuse of Service, or use of the Service that inhibits normal operations.
Personal Use. Service is designed for personal use by Users and by Users who are legal professionals seeking co-counsel referrals and using the Service on their own behalf. Commercial use is limited to transactions done on your own behalf. For personal use and professional use transactions on your own behalf you may copy information from the Services only as necessary to (a) view, (b) save, and (c) print, fax or e-mail it for your individual use. By using the Service you agree not to reproduce (except as noted), modify, distribute, reverse engineer, decompile, or disassemble the Service or any portion therein.
Linking. You are allowed to link to the Homepage of the Service without request, but the homepage must appear in its entirety in your link and you agree to remove the link should we request it.
